1. ACCEPTANCE OF TERMS
By accessing or using tcktd ("the App," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). These Terms are a legally binding agreement between you and Andrew Raymond Kelly, doing business as tcktd. If you do not agree to these Terms, do not access or use the App. These Terms apply to all users, including visitors who browse without creating an account.
2. CHANGES TO TERMS
We may change these Terms at any time. We may provide notice in the App, on our website, or by email, but we are not required to do so unless applicable law requires it. The "Last updated" date controls. By continuing to use the App after changes become effective, you agree to the updated Terms. If you do not agree, you must stop using the App.
For material changes, we may also require you to review and accept the updated Terms before you continue using certain features (for example, at sign-in or through an in-app prompt). We may record the version of the Terms you accepted and the time of acceptance.
Your use of the App is also governed by our Privacy Policy (available in the App and at tcktd.live/privacy), which is incorporated into these Terms by reference.
3. ELIGIBILITY
You must be at least 13 years old to use the App. If you are under the age of majority where you live, you may use the App only with the consent of a parent or legal guardian who agrees to these Terms on your behalf. You represent and warrant that you meet these requirements. We may suspend or terminate access if we believe you do not.
4. YOUR ACCOUNT
You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activity under your account (whether or not authorized by you)
- All devices and accounts you link to the App and the security of those devices
- Ensuring your account information is accurate and kept up to date
- All content you post, send, or store through the App
You must notify us immediately at support@tcktd.live if you believe your account has been compromised or used without authorization. We are not responsible for any loss or damage resulting from unauthorized access to your account. We may require you to change credentials, add security measures, or verify identity as a condition of continued access.
5. LICENSE TO USE THE APP; APP STORES
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App for your own non-commercial use. We and our licensors retain all rights not expressly granted.
If you download the App from Apple App Store or Google Play, you also agree to their applicable terms. Apple and Google are third-party beneficiaries of this section and may enforce it.
Intellectual property. The App, including its software, code, design, user interface, features, and all trademarks, logos, and brand elements, are owned by tcktd or its licensors and are protected by intellectual property laws. Except for the limited license above, you receive no rights in the App and no license to use our trademarks or branding.
Restrictions. You may not copy, modify, distribute, sell, lease, sublicense, or commercially exploit any part of the App, or remove proprietary notices, except where such restrictions are prohibited by applicable law.
Apple App Store (Licensed Application). If you obtained the App from the Apple App Store, the following also apply:
You acknowledge that these Terms are between you and tcktd only, not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content. Apple has no obligation to furnish maintenance or support for the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple may refund the purchase price (if any) for the App to you; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession or use of the App, including product liability claims, failure to conform to legal or regulatory requirements, or claims under consumer protection or similar legislation. Apple is not responsible for any third-party claim that the App infringes that third party's intellectual property rights. You must comply with applicable third-party terms when using the App. Apple and Apple's subsidiaries are third-party beneficiaries of this section and may enforce it against you.
6. FREE SERVICE; NO IN-APP PURCHASES
The App is currently provided free of charge. We do not offer in-app purchases, subscriptions, or paid digital goods within the App at this time. We may introduce paid features in the future; if we do, we will provide applicable terms and obtain any required consents before charging you.
7. USER CONTENT
User Content. You may create, upload, submit, post, or transmit content through the App ("User Content"), including event logs, photos, comments, likes, and messages. You retain ownership of your User Content, subject to the license you grant below.
License you grant us. By providing User Content, you grant tcktd a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to host, store, cache, use, reproduce, modify (for technical formatting and display), create derivative works (for technical formatting and display), publish, display, distribute, and otherwise make your User Content available as necessary to operate, provide, maintain, protect, troubleshoot, improve, and develop the App and related services. This license continues until your User Content is deleted from our systems; however, copies may remain in backups for a reasonable period and where retention is required by law, for security, or for dispute resolution and enforcement.
No promotional use. Unless we obtain your separate written permission, we do not use your User Content in paid advertising or external marketing campaigns. The license above is limited to operating and improving the App and related services as described in these Terms.
Your representations. By submitting User Content you represent that:
- You own the content or have the necessary rights, permissions, and consents to submit it
- The content does not infringe or violate any intellectual property, privacy, publicity, confidentiality, or other rights of any person
- The content complies with these Terms and all applicable laws, rules, and regulations
You are solely responsible for your User Content and any harm resulting from it. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any User Content.
8. PROHIBITED CONDUCT
You agree not to use the App to:
- Post, upload, transmit, or share content that is illegal, abusive, threatening, harassing, defamatory, hateful, obscene, or otherwise objectionable
- Exploit, endanger, or harm minors, or share any sexual content involving minors
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Violate any law, court order, or third-party right (including copyright, trademark, privacy, or publicity rights)
- Upload malware or attempt to bypass, disable, or interfere with security features, rate limits, or access controls
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law
- Access the App using automated means (bots, scrapers, crawlers) without our prior written permission
- Scrape, copy, harvest, or systematically extract data from the App or from other users
- Create multiple accounts to evade enforcement, or to circumvent blocks, suspensions, or bans
- Send spam, phishing, or unsolicited promotions, or use the App for unauthorized commercial purposes
- Interfere with the integrity or performance of the App, including by overload, denial-of-service, or probing
- Encourage or enable any other person to do any of the above
9. ENFORCEMENT; CONTENT MODERATION
tcktd allows users to post User Content (including event logs, photos, comments, likes, and messages). We do not pre-screen all User Content before it appears in the App, but we maintain content standards and enforcement tools as described in these Terms.
We may monitor, review, remove, restrict, or disable access to any User Content or accounts at any time, including if we believe content or conduct violates these Terms, is harmful, illegal, or creates legal or reputational risk. Enforcement actions may include removing or limiting visibility of content, issuing warnings, restricting features, suspending accounts, or terminating accounts.
When we receive a user report or otherwise identify a potential violation, we review the reported content or account and may take enforcement action in our discretion. We aim to review reports within a reasonable timeframe, but we do not guarantee immediate review or removal. We may also cooperate with law enforcement or respond to legal requests. We are not liable to you for any enforcement action or for any failure to take action.
10. BLOCKING; REPORTING; SAFETY FEATURES
The App provides in-app tools to help you manage safety and objectionable content:
Reporting. You may report posts, profiles, or messages through the in-app Report option (for example, from a post menu or profile actions). Reports are submitted to tcktd with a reason category (such as spam, harassment, inappropriate content, underage user, fake account, or other) and may include optional details. Reported content may be hidden from your feed on your device after a successful report.
Blocking. You may block another user from their profile. Blocking is intended to limit future interactions and visibility between you and the blocked user, subject to technical and caching limitations.
Review and response. Reports are stored on our systems and reviewed by tcktd. Based on our review, we may take no action, remove or restrict content, or suspend or terminate accounts that violate these Terms. Blocking and reporting tools are provided for convenience and safety, but we do not guarantee that blocking prevents all forms of contact or visibility (including due to caching, screenshots, third-party sharing, or technical limitations).
If you believe content or conduct poses an imminent safety risk, contact local authorities and also notify us at support@tcktd.live with relevant details.
11. COPYRIGHT; DMCA
We respect intellectual property rights. If you believe content on the App infringes your copyright, you may send a notice to our designated agent at support@tcktd.live with the information required under 17 U.S.C. § 512(c)(3), including:
Identification of the copyrighted work you claim has been infringed
Identification of the material you claim is infringing and information reasonably sufficient to locate it in the App
Your contact information (name, address, telephone, and email)
A statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner
Your physical or electronic signature
We may remove or disable access to material that is the subject of a valid notice and may terminate repeat infringers in appropriate circumstances. If you believe material was removed by mistake, you may submit a counter-notification as permitted by applicable law. Designated agent for DMCA notices: tcktd, support@tcktd.live.
12. THIRD-PARTY SERVICES; LINKS; EVENT INFORMATION
The App integrates with and may rely on third-party services and providers (for example: Supabase, Vercel, Apple Sign In, Google, SeatGeek, Impact.com, Expo push services/APNs/FCM, Sentry, PostHog, Google ML Kit, and email delivery providers such as Resend). Your use of those services is governed by their terms and policies, and we are not responsible for their content, practices, availability, or performance.
The App may display event information, venue details, schedules, and related metadata from third parties (including public sports or venue APIs). We do not guarantee accuracy, completeness, or availability of event information, and we are not responsible for any event, ticket, venue, organizer, or third-party action or omission.
13. FEEDBACK
If you submit suggestions, ideas, feedback, or other materials about the App (collectively, "Feedback"), you grant us the right to use the Feedback without restriction and without compensation to you.
14. DISCLAIMERS
THE APP (INCLUDING ALL CONTENT AND FEATURES) IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that:
- The App will meet your requirements, expectations, or intended outcomes
- The App will be available at all times, will be secure, or will be uninterrupted
- Any errors, defects, or bugs will be corrected
- Any content (including event or user content) will be accurate, complete, or reliable
Your use of the App is at your own risk. You are solely responsible for your interactions with other users and third parties. To the fullest extent permitted by law, you release tcktd from claims, demands, and damages of every kind arising out of or related to disputes between you and other users or third parties, except where such a release is prohibited by applicable law.
15. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, TCKTD AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, LOSS OF PROFITS, LOSS OF GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE APP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP OR THESE TERMS WILL NOT EXCEED (A) THE AMOUNTS YOU PAID TO US FOR THE APP IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain damages or liabilities. In those jurisdictions, the above limitations apply only to the extent permitted by applicable law, and our liability is limited to the maximum extent permitted by law.
16. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless tcktd and its affiliates, officers, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your access to or use of the App; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any right of any third party.
17. TERMINATION; SUSPENSION; DISCONTINUATION
We may suspend, restrict, or terminate your access to the App at any time, with or without notice, for any reason, including if we believe you violated these Terms or created risk to the App, to other users, to third parties, or to us. We may also modify, suspend, or discontinue any part of the App at any time.
You may delete your account from Settings. Deletion and retention are subject to our Privacy Policy and applicable law. Sections that by their nature should survive termination (including Sections 7, 11-21) will survive.
18. GOVERNING LAW; ARBITRATION; CLASS ACTION WAIVER; VENUE; TIME LIMIT
Governing law. These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-law principles, except where federal law applies.
Informal resolution. Before filing a claim, you agree to contact us at support@tcktd.live and provide a brief written description of the dispute and the relief requested. The parties will attempt in good faith to resolve the dispute informally for at least thirty (30) days.
Binding arbitration. If we cannot resolve the dispute informally, you and tcktd agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the App through binding individual arbitration, except (a) claims in small claims court (if eligible), and (b) claims seeking injunctive or other equitable relief for alleged unlawful use of intellectual property or unauthorized access or abuse of the App.
Arbitration administration. Arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules. The arbitration may be conducted remotely (for example by video or telephone) unless the arbitrator determines an in-person hearing is necessary.
Class action waiver. YOU AND TCKTD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING.
Venue for non-arbitrable disputes. If a dispute is not subject to arbitration, you agree that it will be resolved exclusively in the state or federal courts located in Utah, and you consent to personal jurisdiction and venue in those courts.
Time limit. To the fullest extent permitted by law, any claim must be brought within one (1) year after the claim arises; otherwise, the claim is permanently barred.
19. SEVERABILITY
If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20. ENTIRE AGREEMENT; NO WAIVER; ASSIGNMENT
These Terms and the Privacy Policy are the entire agreement between you and tcktd regarding the App and supersede all prior or contemporaneous agreements and understandings.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms (in whole or in part) without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
